Tata Capital IPO: Leading NBFC Tata Capital is expected to launch its much-awaited initial public offering (IPO) in the first half of October 2025. The Reserve Bank of India (RBI) has extended the deadline for listing its equity shares on stock exchanges. Sources close to the matter told news agency PTI.

Earlier it was reported that the company may launch its IPO by September 30.

“The RBI had given a deadline of September 30, but it has been extended due to procedural reasons,” sources told PTI.

Tata Capital is planning to raise US$2 billion (over 17,000 crore) through its first initial share sale at a valuation of US$18 billion.

According to the updated draft red herring prospectus (DRHP) filed last month, the IPO will be a mix of a fresh issue of up to 21 crore shares and an offer for sale (OFS) of up to 26.58 crore shares, making available a total of 47.58 crore shares.

Under the OFS, promoter Tata Sons will sell up to 23 crore shares, while International Finance Corporation (IFC) will sell up to 3.58 crore shares.

Currently, Tata Sons holds 88.6% stake in Tata Capital, while IFC holds 1.8%.

The proceeds from the fresh issue will be used to raise tier-I capital and boost credit growth.

“Further, our Company expects to benefit from the listing of the equity shares on the stock exchanges, including by expanding our Company’s brand name and creating a public market for our equity shares in India,” the company said. Tata Capital reported strong financial results in the first quarter of FY 2025-26, with profit after tax (PAT) up 120.55% from 472 crore in the corresponding quarter of the previous year. Total income rose to 7,692 crore as against 6,557 crore in the June 2024 quarter.

The offering is being made to fulfil RBI’s listing mandate with respect to high-end NBFCs, which are required to be listed within three years of classification. Tata Capital Limited was designated as a high-end NBFC in September 2022.

HDB Financial Services, the non-banking arm of HDFC Bank, entered the stock markets with an issue of 12,500 crore in June. Bajaj Housing Finance made a stellar market debut in September 2024.
